Terms of Service

Maestro is a local AI cockpit operated by Codexo Sites LLC (“Maestro,” “we,” “us,” or “our”). By joining the waitlist, creating an account, or using Maestro, you agree to these Terms of Service. If you do not agree, do not use Maestro.

1. Using Maestro

A. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use Maestro, or have the consent of a legal guardian.

B. What Maestro is

Maestro is a local client that runs on your own machine and drives the AI coding tools you already have installed, such as Claude Code and Codex. You connect your own tools and subscriptions. Maestro is not a reseller of those tools, does not provide the underlying AI models, and does not pool or share accounts.

C. Acceptable use

You agree not to:

  • Violate any applicable law or regulation.
  • Use Maestro to build or distribute malware or to gain unauthorized access to systems or data.
  • Resell, sublicense, or redistribute Maestro without our written permission.
  • Circumvent license checks, usage limits, or security controls.

2. Third-Party Engines and Subscriptions

Maestro works with third-party engines and services, including Claude Code (Anthropic) and Codex (OpenAI). Your use of those engines is governed by the providers’ own terms, and you are responsible for maintaining valid subscriptions and complying with their terms. We are not responsible for changes, outages, price changes, or restrictions imposed by any third-party provider.

3. Accounts, Billing, and Cancellation

A. Pricing and renewal

Paid plans are billed in advance on a recurring basis (for example, monthly) at the price shown at checkout, in USD. Plans renew automatically for successive billing periods until cancelled. Prices may change on renewal with reasonable notice.

B. Payment method

You agree to keep a valid payment method on file. We charge that payment method for your recurring subscription fee and any applicable taxes at the start of each billing period.

C. Non-payment and loss of access

If a renewal charge fails, or a bill is not paid by its due date, and you have not cancelled the account, we may suspend your access to the service until the balance is paid.

D. Cancellation

You may cancel at any time from your account or by emailing info@codexosites.com. To avoid being charged for the next billing period, cancellation must be received before that period’s renewal date. Cancellations after a billing period has started are not eligible for refund, credit, or proration unless required by law. If you do not cancel, renewal billing and the non-payment policy above continue to apply.

4. Communications Consent, Automated and AI Communications

When you provide your contact information and opt in through the waitlist, a form, a scheduler, chat, an intake or account process, or another consent method, you consent to be contacted by Codexo Sites LLC / Maestro by email, phone call, SMS, and/or MMS.

With your consent, these communications may include:

  • Account, onboarding, and service notifications
  • Support and follow-up messages
  • Product updates, marketing, and promotional messages
  • Automated and prerecorded messages
  • AI-assisted or AI-generated messages
  • Artificial or system-generated voice communications where permitted by law

5. Privacy

Your use of Maestro is also governed by our Privacy Policy. Maestro runs locally: your code, prompts, and files stay on your machine and are not sent to our servers. See the Privacy Policy for details on the limited data we do collect.

6. Intellectual Property and License

Maestro, including its software, design, and branding, is owned by Codexo Sites LLC and protected by intellectual property laws. Subject to these Terms and your active plan, we grant you a limited, non-exclusive, non-transferable license to use Maestro. You retain all rights to your own code and files.

7. Disclaimers

Maestro is provided “as is” and “as available,” without warranties of any kind. AI engines can produce inaccurate or unexpected output, and can edit files on your machine; you are responsible for reviewing changes and keeping backups and version control. We do not warrant that the service will be uninterrupted or error-free.

8. Limitation of Liability

To the maximum extent permitted by law, Codexo Sites LLC is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, Maestro. Our total liability for any claim will not exceed the amount you paid us for the service in the twelve (12) months before the claim.

9. Termination

We may suspend or terminate access if we reasonably believe you have violated these Terms or engaged in unlawful conduct. You may stop using Maestro at any time; billing continues until you cancel as described in Section 3.

10. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Paulding County, Georgia.

11. Changes to These Terms

We may update these Terms from time to time. Changes are effective when posted. Continued use of Maestro after changes means you accept the updated Terms.
